Terms of Service
01Important notice
This document is a working draft intended as a structural template. It must be reviewed and validated by a qualified legal professional before it is made publicly available.
02Definitions
'Service' means the RingSync web back office, API, and mobile application that synchronise directory data from Microsoft Entra ID or Google Workspace to employees' native device contacts.
'Customer' or 'you' means the organisation subscribing to the Service through an administrator account.
'Administrator' means an individual authorised by the Customer to manage the Service on its behalf (owner, admin, or member role).
'User' means an employee or contractor of the Customer whose device contacts are synchronised by the Service.
'Seat' means one active directory access grant (a row in directory_grants with is_active = true) on a given tenant. One individual present in two tenants occupies two seats.
'Trial Period' means the 14-day free period that begins when the Customer connects its first Microsoft Entra ID tenant.
'Subscription Period' means the annual period beginning at the end of the Trial Period.
03Account eligibility and registration
The Service is intended for business customers only. By registering, you represent that you are acting on behalf of a legal entity and have authority to bind that entity to these Terms.
The Administrator account requires a valid email address. Authentication is performed via Supabase Auth (email/password, Google OAuth, or Microsoft OAuth). You are responsible for maintaining the security of your credentials and for all activity that occurs under your account.
The mobile application requires a valid Microsoft account assigned to a tenant configured in the back office. Authentication is performed via Microsoft OAuth; RingSync does not store passwords.
04Description of the service
RingSync provides a one-way directory synchronisation service: it reads contact data from the Customer's Microsoft Entra ID (or Google Workspace in supported versions), proxies the data server-side, and streams it to enrolled employees' native device contacts.
Key architectural commitment: RingSync does not store directory contact records on its servers. Contact data exists only in the directory provider and on employees' devices.
The Service operates through a proxy model: the mobile application calls RingSync API routes, which call Microsoft Graph (or Google Directory API) using application-level credentials, and return paginated results to the device. The device writes contacts to the native address book.
Synchronisation may be triggered manually by the user or scheduled by the Administrator (scheduling available on Pro and Business plans). Automatic wipe of contacts from the device is performed when a user is deprovisioned in the directory.
05Customer obligations and acceptable use
You represent and warrant that: (a) you have obtained all necessary consents and authorisations under applicable law to connect your directory to the Service and to synchronise employee contact data to devices; (b) your use of the Service complies with applicable data protection law, including GDPR where applicable; (c) you have granted Microsoft admin consent for the required application permissions (User.Read.All, GroupMember.Read.All, Application.Read.All) with full understanding of their scope.
You must not: use the Service to process sensitive personal data as defined under Art. 9 GDPR without a specific legal basis; attempt to reverse-engineer, decompile or disassemble the Service; use the Service in a manner that could damage, overload or impair RingSync's infrastructure; share administrator credentials with unauthorised individuals.
You are responsible for ensuring that employees whose data is synchronised have been informed in accordance with Art. 13/14 GDPR. A template employee notice is available at /docs.
You are responsible for the accuracy of the data in your directory. RingSync synchronises what the directory exposes; it does not validate or enrich contact data.
06Subscription, billing and payment
Plan details, prices and feature limits are set out at /pricing. Prices are in euros, exclusive of VAT. RingSync reserves the right to change prices with {{À VALIDER : préavis — 30 jours recommandés}} prior written notice.
Trial Period: a 14-day free trial begins when the first tenant is connected. No payment is required during the trial. Activation of a subscription before the end of the trial pins the first invoice to the end of the trial date — no charge is made at activation.
Subscription activation: the Customer chooses between self-service payment (card or SEPA debit via Stripe Checkout) and invoice payment (Net 30, Stripe Invoicing). The chosen mode is binding for the current subscription period.
Annual billing: the Subscription Period is annual. The first invoice covers the number of active seats at the end of the Trial Period. Seats added during the period are invoiced pro rata for remaining complete months (formula: unit price / 12 × remaining months, counted from the first day of the month following addition).
Removal of seats: removing a seat during the Subscription Period does not entitle the Customer to a refund or credit. The seat may be reassigned within the same period at no extra cost.
Renewal: renewal invoices are issued 30 days before the end of the Subscription Period for the number of active seats at that time.
Suspension for non-payment: for self-service payment, Stripe's standard dunning logic applies. For invoice payment, the first reminder is sent at day 7, a second at day 15, and access is suspended at day 30 after invoice issuance. Data is retained for 90 days after suspension and permanently deleted at day 120.
Trial expiry without activation: access is suspended on day 14 after the trial begins. Data is retained for 30 days after suspension and permanently deleted at day 44.
All payments are processed by Stripe. Payment card and bank account details are held exclusively by Stripe and are never stored by RingSync.
07Intellectual property
RingSync and its licensors own all rights, title and interest in the Service, including all software, trademarks, logos and documentation. These Terms do not grant you any ownership interest in the Service.
You retain all rights in the directory data you make available through the Service. You grant RingSync a limited, non-exclusive licence to process that data solely to provide the Service as described herein.
08Availability and SLA
RingSync targets {{À VALIDER : SLA par plan — ex. 99.5 % monthly uptime for Starter, 99.9 % for Pro and Business}}. The applicable SLA for your plan is set out at /pricing.
Planned maintenance windows will be announced at least {{À VALIDER : délai}} in advance via the status page at https://status.ringsync.io.
Service availability does not include interruptions caused by: (a) failure of Microsoft Entra ID, Google Workspace, or other third-party services outside RingSync's control; (b) Customer's network or device issues; (c) force majeure events.
09Limitation of liability and warranties
The Service is provided 'as is'. To the maximum extent permitted by applicable law, RingSync disclaims all warranties, express or implied, including warranties of merchantability and fitness for a particular purpose.
To the maximum extent permitted by applicable law, RingSync's total liability to you for any claim arising out of or in connection with these Terms shall not exceed the greater of: (a) the total fees paid by you to RingSync in the 12 months preceding the claim; or (b) {{À VALIDER : montant plancher — ex. 500 €}}.
In no event shall RingSync be liable for indirect, incidental, consequential or punitive damages, or loss of data or profits, even if RingSync has been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for: fraud or fraudulent misrepresentation; death or personal injury caused by negligence; or any other liability that cannot be excluded under applicable law.
{{À VALIDER : cette clause est soumise au droit de la consommation et au droit des contrats français — vérifier la conformité avec les articles 1231-3 et suivants du Code civil et les dispositions de l'article L. 442-1 du Code de commerce pour les relations B2B}}.
10Termination
You may terminate your subscription at any time from the back office. Termination takes effect at the end of the current Subscription Period. No refund is issued for the remaining portion of the period.
RingSync may suspend or terminate your access immediately if: (a) you materially breach these Terms and fail to remedy the breach within {{À VALIDER : délai — 15 jours}} of written notice; (b) you fail to pay amounts due; (c) RingSync is required to do so by law.
Upon termination or suspension: synchronisation stops immediately; data is retained for the applicable grace period set out in the Billing section above, then permanently deleted.
11Data processing
The parties' respective data processing obligations are set out in the Data Processing Agreement (DPA) at /legal/dpa. By using the Service you agree to the DPA, which forms part of these Terms.
12Governing law and disputes
These Terms are governed by and construed in accordance with the laws of France, without regard to conflict-of-law provisions.
In the event of a dispute, the parties agree to attempt to resolve it amicably within {{À VALIDER : délai — 30 jours}} of written notice. If the dispute is not resolved, it shall be submitted to the exclusive jurisdiction of the courts of {{À VALIDER : Paris — Tribunal de commerce de Paris ou tribunal judiciaire selon la nature du litige}}.
{{À VALIDER : vérifier la clause attributive de compétence au regard du Règlement Bruxelles I bis si des clients sont situés dans d'autres États membres de l'UE}}.
13Miscellaneous
These Terms, together with the DPA and the Privacy Policy, constitute the entire agreement between you and RingSync with respect to the Service.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
RingSync may assign its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition or sale of assets, with {{À VALIDER : préavis}} notice to you.
RingSync may update these Terms from time to time. Material changes will be notified by email with at least {{À VALIDER : délai — 30 jours}} prior notice. Continued use of the Service after the effective date constitutes acceptance.
